Binding Agreement

Lock and Grain (“L&G,” “we,” “our”) offers products and services subject to the following Terms & Conditions. By placing an order, using our website, or interacting with our services, you agree to these Terms & Conditions and all referenced policies, including our Warranty and Returns & Shipping Policy. We may update these Terms & Conditions from time to time. Updates will be posted online and are effective immediately upon posting unless otherwise stated. Your continued use of our products or services constitutes acceptance of the revised Terms.

ORDER ACCEPTANCE. Submission of an order constitutes an authorization to charge your payment method, but no sale is final until the order is reviewed, accepted, and processed by Lock & Grain. We reserve the right to cancel or decline any order for any reason, including suspected fraud, product availability, or errors in pricing or product information. Custom orders will be designated by Lock & Grain at the time of acceptance.

PRODUCT INFORMATION & REPRESENTATION. We strive to accurately display our products; however, variations in color, grain, texture, and finish are inherent to natural materials and may not exactly match digital or printed representations. These variations are not defects.

PRODUCT ACCEPTANCE. Customers should inspect products upon delivery. Any claims for shipping damage, missing items, or order errors should be reported within 7 days of delivery. In the absence of such notice, the product will be deemed accepted as delivered.

ASSEMBLY & USE. Customers are responsible for proper assembly and use of all products in accordance with provided instructions. Improper assembly, modification, including failure to fully secure or install components using the provided hardware, overloading, or use outside normal residential or office indoor use may void any applicable warranty and release Lock & Grain from related liability.

For unfinished products, the Customer assumes full responsibility for the selection, application, and outcome of any finish or treatment applied after delivery. Variations in finish results, including color, absorption, or appearance, are not considered defects. Such modifications render the product non-returnable for cosmetic reasons but do not affect the applicability of the Warranty as it relates to structural integrity.

PRICING, PAYMENT & FINAL SALE. All prices are subject to change prior to order acceptance. Once an order is accepted and processed, all sales are final except as expressly provided in our Warranty or Returns & Shipping Policy.

 CANCELLATIONS & CHANGES.

·       Orders may be canceled or modified prior to shipment with minimal or no penalty.

·       Custom products, as designated by Lock & Grain, are not eligible for cancellation or modification once production has begun, unless agreed to in writing by Lock & Grain, in which case additional fees may apply.

·       Once an order has shipped, it is subject to our Shipping & Returns Policy.

           SHIPPING & DELIVERY.

·       Delivery timelines are estimates only. While we strive to meet expected timelines, delays may occur due to production, carrier, or other factors beyond our control.

  •        Customers are responsible for ensuring appropriate delivery conditions, including access and space for delivery. Failed delivery attempts due to customer conditions may result in additional charges. Customers are also responsible for ensuring that the delivery location provides reasonable protection from weather exposure and theft. Any damage or loss resulting from inadequate protection at the delivery site after delivery is the responsibility of the Customer.

·       Refusal of delivery is treated as a return and is subject to applicable return costs, which may be automatically applied to the original payment method.

RETURNS. All returns, including eligibility, conditions, and fees, are governed by our Returns & Shipping Policy. Warranty-related claims are governed exclusively by the Lock & Grain Warranty and are not limited by return eligibility criteria.

WARRANTY. All products are subject to the Lock & Grain Warranty, which governs product defects, coverage, and remedies.

·       Waiver of Implied Warranties. EXCEPT FOR ANY EXPRESS WARRANTIES PROVIDED UNDER THE LOCK & GRAIN WARRANTY, ALL OTHER WARRANTIES ARE EXPRESSLY DISCLAIMED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

           LIMITATION OF LIABILITY. Lock & Grain’s total liability under any circumstance shall not exceed the total amount paid by the Customer for the product at issue.

·       In the event of a valid claim, our sole obligation is to repair or replace defective product, or at our discretion, issue a refund or credit where replacement is impractical.

·       Under no circumstances will Lock & Grain be liable for any indirect, incidental, or consequential damages, including but not limited to damage to other property, costs related to assembly, delays, or third-party arrangements.

          IMAGE AND INTANGIBLE USE. Lock & Grain retains all rights to images, representations, and derivative or intangible value related to its products where not otherwise owned. Customer grants Lock & Grain a non-exclusive right to use submitted or publicly shared content for business purposes.

 EXCEPTIONS TO TERMS. Any exception or waiver granted by Lock & Grain in a specific instance does not modify or waive these Terms & Conditions for any other instance or customer.

 FORCE MAJEURE. Lock & Grain is not liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, labor disruptions, material shortages, transportation delays, or other unforeseen events.

 DISPUTE RESOLUTION & CHARGEBACK WAIVER. All disputes related to purchases from Lock & Grain shall be resolved exclusively through binding arbitration administered under the rules of the American Arbitration Association. Arbitration shall take place in Centre County, Pennsylvania, and shall be governed by the laws of the Commonwealth of Pennsylvania.

 The Customer agrees to waive the right to initiate a chargeback through their payment provider and agrees to resolve all disputes directly with Lock & Grain. Any chargeback initiated in violation of this agreement constitutes a material breach of contract, and Lock & Grain reserves the right to recover all associated costs, fees, and damages.
